§ 1. General Provisions

  1. These Terms of Service ('Regulations') define the general conditions, rules, and manner of provision of services by Zenith Tech Advisors GmbH, with its registered office in Vienna, Austria ('Service Provider') via the website zenithtechadvisors.com ('Platform').
  2. These Regulations apply to all services provided by the Service Provider, unless otherwise stipulated in a separate written agreement between the Service Provider and the User.

  4. By using the Platform or engaging the services of the Service Provider, the User confirms that they have read, understood, and agree to be bound by these Regulations.

§ 2. Definitions

  • Platform – The website operating at zenithtechadvisors.com, through which the Service Provider presents its services and enables contact.
  • User – Any natural person with full legal capacity, legal person, or organizational unit without legal personality, which uses the Services provided by the Service Provider.
  • Agreement – A formal, written contract for the provision of Services concluded between the Service Provider and the User.
  • Services – All IT consulting services offered by the Service Provider, including but not limited to IT audits, cloud migration, and cybersecurity consulting.
  • Regulations – This document, the Terms of Service, which constitutes the basis of the legal relationship for using the Platform.

§ 3. Type and Scope of Services Provided

  1. The Service Provider offers specialized business-to-business (B2B) IT consulting services. The detailed scope of services, deliverables, timelines, and remuneration for each User is specified in a separate, individual Agreement.
  2. The information presented on the Platform, including descriptions of services and pricing, is for informational purposes only and does not constitute a binding offer within the meaning of the Civil Code.
  3. The conclusion of an Agreement for the provision of Services requires direct contact with the Service Provider and mutual agreement on all terms and conditions.
  4. The Service Provider reserves the right to refuse to provide Services without giving a reason, particularly if the User's request is outside the scope of the Service Provider's expertise.

§ 4. Technical Requirements

  1. To use the Platform, the User must have a device with access to the Internet and an up-to-date web browser (e.g., Chrome, Firefox, Safari, Edge) with JavaScript and cookies enabled.
  2. The Service Provider is not responsible for any disruptions, including interruptions in the functioning of the Platform, caused by force majeure, unauthorized actions of third parties, or incompatibility of the Platform with the User's technical infrastructure.
  3. The User is prohibited from providing content of an unlawful nature or performing actions that may disrupt the proper functioning of the Platform.

§ 5. Rights and Obligations of the User

  1. The User is obliged to use the Platform and the Services in accordance with applicable law, these Regulations, and good practices.
  2. The User is obliged to provide true and accurate data when contacting the Service Provider or concluding an Agreement.
  3. All intellectual property rights to the content on the Platform, including text, graphics, and logos, are the property of the Service Provider. The User may not copy, modify, or distribute this content without the express written consent of the Service Provider.
  4. The User is responsible for maintaining the confidentiality of any information received from the Service Provider that is designated as confidential.
  5. The User agrees to cooperate with the Service Provider as necessary for the proper execution of the Services, including providing required information and access to relevant systems.

§ 6. Final Provisions

  1. The Service Provider reserves the right to amend these Regulations at any time. Users will be informed of any changes through a notice on the Platform. The continued use of the Platform after changes are posted constitutes acceptance of the new Regulations.
  2. Any disputes arising from the provision of Services shall be resolved by the competent court for the registered office of the Service Provider.
  3. These Regulations shall be governed by and construed in accordance with the laws of the Republic of Austria.
